INDEPENDENT OWNER-OPERATOR LEASE AGREEMENT

This Independent Owner-Operator Lease Agreement (“Agreement”) is entered into as of the

Taxaidbird LLC, doing business as ARGO EXPEDITE, a Logistics and Transportation Company, with its principal place of business at

2717 Commercial Center Blvd, Suite E200, Katy, TX 77494

(hereinafter referred to as the “Company”),

and

(hereinafter referred to as the “Contractor”).

ADMINISTRATIVE SERVICE PROVIDER

PrimeWay Logistics LLC acts solely as the Administrative Service Provider for Taxaidbird LLC dba Argo Expedite, assisting with recruiting, onboarding, and HR support. All transportation operations and contractual relationships are directly between the Contractor and Argo Expedite. PrimeWay Logistics LLC does not perform or assume responsibility for transportation services.

VEHICLE INFORMATION

A. All vehicles must be model year 2015 or newer.

B. Vehicles must be properly maintained and in safe operating condition at all times.

C. Each vehicle must carry a minimum of six (6) cargo straps.

D. All previous company decals must be removed, unless operating under the Contractor’s own authority.

E. If the Contractor changes the vehicle used for operations, the Company must be notified in advance, and updated vehicle registration and insurance documentation must be provided before the vehicle is placed into service.

The Contractor agrees to lease to the Company, as Lessee, the commercial vehicle bearing the following Vehicle Identification Number (VIN):

DRIVER INFORMATION

INDEPENDENT CONTRACTOR STATUS

The Contractor and any drivers operating under the Contractor are independent contractors and not employees of the Company. The Company does not provide workers’ compensation, health insurance, accident insurance, tax withholding, Social Security, unemployment insurance, or any employee-related benefits.

The Contractor is solely responsible for all taxes, insurance, and benefits for themselves and their drivers and agrees to indemnify and hold the Company harmless from any related claims or obligations.

NON-DISCRIMINATION

The Contractor agrees to comply with all applicable non-discrimination laws and shall not discriminate on the basis of race, color, religion, sex, national origin, or any protected status.

NON-COMPETE AND NON-SOLICITATION

Carrier shall not directly contact, solicit, or book loads with any broker or customer introduced by ARGO EXPEDITE during the term of this Agreement.
